Terms and Conditions
1. Introduction
1.1 These Terms and Conditions govern the sale of wines by EU Winery (“we”, “us”, “our”) to any distributor and/or retailer licensed (“you”, “your”). By placing an order with us, you agree to be bound by these Terms and Conditions.
2. Definitions
2.1 “Seller” means EU Winery.
2.2 “Buyer” means the individual or entity who purchases the goods from the seller.
2.3 “Goods” refers to the wines provided by the seller or seller’s direct suppliers.
2.4 “Contract” means the contract between the seller and the buyer for the sale and purchase of goods.
3. Orders
3.1 All orders are subject to acceptance by us and availability of the goods.
3.2 Orders can be placed through our website and by email.
3.3 Upon acceptance of an order, we will provide you with an order confirmation, including details of the goods, prices, and delivery.
3.4 We may cancel an accepted order if there has been an error in pricing or product description.
4. Prices and Payment
4.1 All prices are listed in Euros (€) and are exclusive of VAT unless otherwise stated.
4.2 Payment must be made in full before dispatch unless otherwise agreed in writing.
4.3 We accept payment by bank transfer, credit card, etc…
4.4 Prices are subject to change without prior notice but will not affect orders that have already been confirmed.
5. Delivery
5.1 We deliver to Vietnam.
5.2 Delivery dates are approximate and not guaranteed. We will make every effort to deliver goods within the estimated timeframe.
5.3 Risk of loss and damage of goods passes to you upon delivery.
5.4 Any import duties, taxes, or customs clearance charges are the responsibility of the buyer.
6. Title and Risk
6.1 Title to the goods passes to you only when we have received full payment for the goods.
6.2 Risk in the goods passes to you upon delivery.
7. Returns and Refunds
7.1 Returns are only accepted for defective or incorrectly delivered goods.
7.2 You must notify us within 5 working days of receipt of defective or incorrect goods.
7.3 Returned goods must be in their original packaging and condition.
7.4 Upon verification of the defect or error, we will offer a replacement or refund.
8. Warranties and Liability
8.1 We warrant that the goods will correspond with their description and be of satisfactory quality at the time of delivery.
8.2 Our liability for losses you suffer as a result of us breaking this agreement is strictly limited to the purchase price of the goods you purchased.
8.3 We are not liable for indirect or consequential losses.
9. Force Majeure
9.1 We will not be liable for any delay or failure to perform any of our obligations under these Terms and Conditions if the delay or failure is caused by events outside our reasonable control.
10. Intellectual Property
10.1 All intellectual property rights in our products and materials are owned by us or by our direct suppliers or licensors. You may not use these without our prior written consent.
11. Governing Law and Jurisdiction
11.1 These Terms and Conditions are governed by and construed in accordance with the laws of the Netherlands.
11.2 Any disputes arising out of or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of the Netherlands.
12. Amendments
12.1 We reserve the right to amend these Terms and Conditions from time to time. The latest version will be available on our website.
